Industry Odisha Bureau, Oct 11: Brazil’s Embraer has agreed to acquire 51% of Novavaayu Aerospace for about ₹5,100 crore. The Mahindra unit will then become an associate company. The deal is expected to close by 1 December 2026.
Brazil’s Embraer SA has agreed to buy a majority stake in a Mahindra aerospace company. It will acquire 51% of Novavaayu Aerospace Ltd for about ₹5,100 crore. Mahindra & Mahindra Ltd disclosed the investment agreement in a regulatory filing. The agreement was signed on Friday. The Mahindra Embraer aerospace deal has not yet been completed. It remains a signed agreement awaiting closure. Once completed, a Brazilian manufacturer will hold majority ownership of the Indian aerospace firm.
A layered ownership structure
Novavaayu Aerospace, or NAL, was incorporated on 29 March 2026. NAL was set up as a wholly owned subsidiary of Mahindra Defence Systems Ltd. Mahindra Defence Systems is itself wholly owned by Mahindra & Mahindra. That made NAL a step-down subsidiary, held indirectly by the parent group.
A 51% stake generally gives the holder majority ownership. After completion, NAL will no longer be wholly owned within the Mahindra group. It will instead become an associate of Mahindra Defence Systems, the filing said. Embraer is buying into NAL alone, not Mahindra’s wider defence business.
Signing is not closing
The ₹5,100 crore figure is the consideration for the 51% stake. It is not a separately disclosed valuation of the whole company. NAL’s revenue, assets and profits were not disclosed. Financing details for the deal were also not disclosed.
Completion is expected on or before 1 December 2026. Until then, the ownership change remains pending. Corporate deals usually pass two stages: signing and closing. Signing sets the terms, while closing transfers the shares. The expected date is a target, not a guarantee.
What the filing rules out
Mahindra’s disclosure also clarified the deal’s legal character. The company said it does not fall within related-party transactions. Such transactions involve parties already connected to the company, such as group entities. Mahindra also said the sale is not a slump sale. A slump sale transfers an entire business undertaking for a lump-sum price. Nor does the deal involve a merger or amalgamation. In short, it is an equity sale to an outside investor.
The India-Brazil aerospace angle
Embraer is a Brazilian aerospace manufacturer. Its proposed investment marks a cross-border entry into an Indian aerospace company. The deal adds a corporate dimension to India-Brazil aerospace engagement. Embraer’s plans for NAL were not detailed.
Separately, Embraer and Mahindra have chosen Nagpur for a potential C-390 assembly line. That plan remains potential, not operational. Nothing reported links it to the ₹5,100 crore stake sale. The stake sale also does not signal any Indian military aircraft order. No such procurement commitment has been reported.
What happens next
For now, the Mahindra Embraer aerospace deal awaits completion. Embraer has agreed to take majority ownership of NAL. Mahindra Defence Systems will keep an associate-level interest. Its management and board arrangements have not been disclosed. The restructuring takes effect only once the transaction closes. Until then, NAL remains wholly owned within the Mahindra group. That closing is expected by 1 December 2026.
